SKALP STUDIO — END USER LICENCE AGREEMENT
Version 2026-10-22 • Effective upon your acceptance

1. Who provides Skalp Studio
Skalp Studio is licensed by Architectuurburo Wydouw bv, Hoevensebaan 238, 2950 Kapellen, Belgium, VAT BE0866608589 (the Licensor). Product and support contact: https://skalpstudio.com/. Skalp Studio is an independent extension for SketchUp; it is not a Trimble product. A separate compatible SketchUp licence is required. Read this agreement before selecting the acceptance checkbox. If you do not agree, do not activate or use Skalp Studio; you may close this window and uninstall it without altering your documents.

2. Licence and named users
You receive a limited, non-exclusive licence to use Skalp Studio for the duration and scope of your entitlement. Each paid seat is assigned to one natural person. You may install the software on multiple computers, but only one computer may be actively registered per seat. Do not share a seat or activation code between people. Use the authenticated customer portal to deactivate the previous computer before activating another. A purchaser may hold several separately assigned seats. Special education, beta, reseller or owner-granted rights are governed by their explicit entitlement and any written conditions supplied with them; they do not automatically include a paid subscription.

3. Subscription, cancellation and payment
The standard paid offer is an annually billed subscription. The price, taxes, initial offers, seat count, renewal terms and payment conditions shown at checkout apply. FastSpring handles checkout, payment and billing as merchant of record where identified in your order. Cancel automatic renewal using the billing facilities supplied with your purchase. Cancellation ordinarily retains access through the already-paid period; it does not itself create a refund or perpetual licence. Access ends at the applicable entitlement deadline, subject to any expressly granted extension or payment grace. Payment, renewal and cancellation status are determined by confirmed provider records, not a purchase link or browser redirect. Material price or contract changes require the notice and rights required by applicable law.

4. Free trial
The full-function beta trial lasts 30 days from first activation. The standard trial lasts 15 days. The licensing service confirms the duration in your activation email when the trial is requested; a later policy change does not shorten an already issued trial. The trial requires no payment card, never automatically becomes paid and does not renew. Name, country and email are required. A trial is limited to one per email address and computer; its activation code is bound to the requesting computer and installation. Reinstallation does not create a right to another trial. Contact support if a legitimate hardware or installation change prevents activation. Test suitability and compatibility during the trial before buying.

5. Activation, offline access and expiry
Internet access is required for trial requests, activation, deactivation and periodic verification. A successful verification provides signed device authorization for no more than 14 days of offline use, and never beyond the applicable access deadline. Confirmed deactivation, revocation or expiry may stop protected commands; a disconnected computer may retain access until its existing authorization expires or it reconnects. Network failure does not extend the signed deadline. Licence checks must not delete or claim ownership of your models, drawings or materials. Keep your own independent backups.

6. Compatibility, updates and release notes
Use only the platform and SketchUp versions explicitly supported by the installed package. The current Skalp Studio 2027 package targets SketchUp 2027; platform and LayOut limitations are described in the user guide and release notes. A subscription includes Skalp Studio updates released during the paid access period, subject to compatibility and availability. Compatibility with a future SketchUp release, its release date and identical functionality on every platform are not guaranteed. Alpha and beta builds may contain defects and are unsuitable for reliance without independent validation. Read the displayed release notes before updating, save all open work and follow restart instructions. Release notes explain changes; reading or acknowledging them does not authorize unannounced changes to this agreement. A changed agreement is identified by a new version and requires a fresh explicit acceptance where applicable. Closing a notice is not acceptance.

7. Your content and professional responsibility
You retain rights in your own and lawfully imported content. Check geometry, dimensions, quantities, patterns, exports and published drawings before relying on them for construction, procurement or other professional decisions. Skalp Studio assists your work and does not replace professional judgement, required verification or statutory duties. Third-party material and data remain subject to their own licences.

8. Permitted use and intellectual property
The software, branding and documentation remain the property of their respective rights holders. Do not redistribute or sell the software as your own, share credentials, or deliberately circumvent licence controls. These restrictions do not remove rights that applicable law makes non-waivable, including permitted backup, observation, study, testing, interoperability or decompilation. Third-party and open-source components are governed by their accompanying notices and licences; this agreement does not restrict rights those licences grant.

9. Privacy and necessary service data
The licensing service processes contact details, entitlement and activation records, a product-specific pseudonymous computer identifier, device public key, computer display name/platform and security/audit records to deliver trials, manage access and prevent abuse. It records the accepted agreement version, exact document SHA-256 and server acceptance time with the related trial or activation. Pseudonymous identifiers are still personal data where linkable to a person. Necessary licensing requests do not upload your model geometry or drawings. Separate features, such as sending a support request, may transmit information you choose to provide. Consult the privacy notice supplied with the service for purposes, legal bases, recipients, retention and your data-protection rights; contact the Licensor above to exercise your rights. Accepting this agreement is not consent to marketing. Optional marketing requires a separate choice and is not a condition of a trial or licence. FastSpring processes checkout data under its applicable privacy information.

10. Suitability, refunds and mandatory rights
The trial is your opportunity to assess suitability. No additional discretionary refund is promised solely because you did not test a compatibility or suitability issue reasonably testable in the trial. This does not exclude legal rights concerning withdrawal, conformity, defects, repair, price reduction, termination or refunds, nor applicable FastSpring policies. Any legally required express request for immediate digital supply and acknowledgment concerning withdrawal must be obtained separately at checkout; this checkbox does not waive a withdrawal right. A provider-confirmed refund or chargeback may end the related access, subject to applicable law.

11. Warranties and liability
Except for express commitments and guarantees required by law, the software is supplied without a promise that it is error-free or suitable for every purpose. To the extent lawful, the Licensor is not responsible for indirect or consequential losses, lost profits or loss resulting from failure to maintain reasonable backups or verify output. Nothing excludes or limits liability that cannot lawfully be excluded, including fraud, wilful misconduct, applicable liability for gross negligence, death or personal injury, or mandatory consumer and data-protection rights. No contractual cap overrides such rights.

12. Termination and applicable law
You may stop using and uninstall the software at any time; uninstalling does not cancel billing. Material misuse may lead to suspension or termination subject to applicable law and reasonable notice and opportunity to remedy where required. Belgian law applies without depriving consumers of mandatory protection under the law of their habitual residence. Consumers retain the courts and complaint mechanisms available under applicable law; no exclusive forum or mandatory arbitration is imposed on them. If a provision is unenforceable, the remainder continues so far as lawful. Changes apply prospectively and do not silently remove acquired mandatory rights.
